Chatbot Terms and Conditions

Standalone Website Chatbot Subscription Terms and Conditions

Effective Date: [Month Day, 2026]

These Standalone Website Chatbot Subscription Terms and Conditions (the “Agreement”) are entered into between Lincoln Street Media, a Texas business (“Provider,” “we,” “us,” or “our”), and the insurance agent, insurance agency, or other business identified during checkout or on the applicable order form (“Client,” “you,” or “your”).

This Agreement governs Client’s purchase and use of the standalone text-based website chatbot subscription, including any optional calendar connection. By signing an order form, checking an acceptance box, submitting payment, or authorizing Provider to begin installation or configuration, Client acknowledges that Client has read, understood, and agreed to this Agreement.

1. Subscription Service

Subject to Client’s timely cooperation and payment, Provider will supply and manage one text-based chatbot for installation on one eligible existing website controlled or authorized by Client. Unless otherwise stated in writing, the subscription includes:

  • Up to 500 chatbot conversations per monthly billing period;
  • Chatbot responses customized from agency information reviewed or approved by Client;
  • Standard installation on one eligible existing website;
  • No standard chatbot setup fee;
  • Ongoing chatbot availability, routine configuration, and reasonable support; and
  • The option to purchase a calendar connection as described in Section 5.

The chatbot is a managed subscription service. It is not sold to Client, and no ownership of the chatbot software, account, prompts, configuration system, platform, or underlying technology transfers to Client.

2. Eligible Website and Installation Requirements

Standard chatbot installation is included only when Client’s existing website is technically eligible and allows installation through a supported code snippet, tag manager, plugin, integration, or comparable method accepted by Provider.

Client must:

  1. Own or have authority to modify the website;
  2. Provide accurate website information and any reasonably required administrative access, embed-code access, or cooperation from Client’s website provider;
  3. Maintain a current website hosting account, domain, security certificate, and other services needed to operate the website; and
  4. Back up the existing website before installation or authorize its website provider to do so.

Provider is not required to redesign, repair, migrate, rebuild, or troubleshoot unrelated problems on Client’s website. Installation does not include custom programming, website reconstruction, theme repair, plugin repair, accessibility remediation, security remediation, or coordination with a third-party developer beyond reasonable installation instructions.

Some proprietary website builders, security systems, content-management systems, themes, plugins, or hosting providers may restrict or prevent installation. If the website is not eligible, Provider may propose an alternative method, request cooperation from Client’s website provider, offer separately priced work, or decline installation. Provider is not responsible for delays caused by missing access, third-party restrictions, incompatible technology, or Client’s failure to cooperate.

3. Client Information and Approval

Client will provide complete and accurate information reasonably needed to configure the chatbot, including, without limitation, the agency name, contact information, services, service area, hours, appointment information, licensing information, required disclosures, frequently asked questions, website links, and other approved content.

Client is responsible for reviewing the chatbot’s knowledge base, instructions, links, disclosures, and sample responses before or promptly after activation. Client’s written approval, direction to activate, or continued use after a review opportunity authorizes Provider to deploy the approved information.

Client must promptly notify Provider when any approved agency information, licensing information, calendar link, disclosure, service description, or other material information changes. Provider is not responsible for inaccurate or outdated responses caused by inaccurate, incomplete, or outdated information supplied or approved by Client.

4. Monthly Conversation Allowance

The subscription includes up to 500 chatbot conversations per monthly billing period. A “conversation” is measured according to the applicable chatbot platform’s usage rules and reporting method. A conversation may include one or more messages from a website visitor during a session or within the time window established by the platform.

Conversation usage resets at the beginning of each new billing period. Unused conversations do not roll over, have no cash value, and cannot be transferred to another account, website, or billing period.

When Client reaches or is reasonably expected to reach the 500-conversation allowance, Provider may notify Client, limit or pause chatbot availability until the next billing period, or offer an increased allowance for an additional fee. Provider will not charge an overage fee or upgrade fee without Client’s approval. Provider may take reasonable measures to exclude, block, or control spam, automated abuse, malicious traffic, or excessive use, but does not guarantee that all such activity will be detected or excluded from platform usage counts.

5. Calendar Connection

Calendar Integration Terms

1. Service Scope & Eligibility

  • 1.1 Link Integration Included: Chatbot calendar integration is provided at no extra cost, provided that Client has an existing, active calendar system and supplies Provider with a valid, functional scheduling link.

  • 1.2 Scope Limitations: Provider’s service is limited strictly to integrating Client’s existing scheduling link, button, or response into the chatbot. Provider does not create, build, host, configure, or manage calendar platforms, nor does Provider build custom native API connections. Clients who do not have an active calendar link must set one up independently.

2. Client Obligations & Third-Party Platform Costs Client is solely responsible for selecting, maintaining, and paying for any third-party calendar or scheduling software subscriptions. Client must promptly supply Provider with:

  • An active, technically compatible scheduling link;

  • Accurate availability, appointment types, time-zone configurations, intake questions, and notification settings within their chosen calendar system; and

  • Any legally required privacy notices, terms, or customer consent disclosures necessary for Client’s booking process.

3. Liability Disclaimers & Technical Limitations Provider shall not be liable for any double bookings, missed, canceled, or unauthorized appointments; inaccurate availability; calendar software outages; time-zone discrepancies; failed email/SMS notifications; or the acts, omissions, data practices, or technical limitations of third-party scheduling providers.

6. Fees, Recurring Billing, and Texas Sales Tax

The subscription price is $47 per month, plus applicable Texas sales tax. The first payment is due when Client enrolls. Client authorizes Provider or its payment processor to charge the payment method on file every month until the subscription is canceled under Section 7.

The advertised price does not include applicable sales or use tax. Client is responsible for paying all Texas state and local sales or use taxes that Provider is required to charge.

Under current Texas tax rules, web hosting, website maintenance, software-as-a-service, application-service access, and similar computer-based services are generally classified as taxable data-processing services. For taxable data-processing services, 20% of the charge is exempt from Texas sales and use tax, and sales tax is generally calculated on the remaining 80% of the charge. Provider will generally calculate applicable Texas state and local sales tax on 80% of the $47 monthly subscription and on 80% of any other charge classified as taxable data processing, including the $79 calendar-connection fee when applicable, unless a different treatment is required by law.

Provider may adjust the taxable amount or tax charged if a taxing authority changes its rules, rates, interpretations, sourcing requirements, exemptions, or classification of the services. A Client claiming a valid tax exemption must provide a properly completed exemption certificate before the applicable charge is processed. Provider is not required to refund tax previously collected because Client failed to provide a valid exemption certificate on time.

Provider may change the monthly subscription price by giving Client at least 30 days’ written notice. A price change applies only to future billing periods, and Client may cancel before the new price takes effect.

7. Cancellation and Refund Policy

The chatbot subscription is month-to-month. Client may cancel future monthly payments at any time by sending written notice to info@lincolnstreetmedia.com before the next billing date. Cancellation takes effect at the end of the then-current paid billing period unless Provider agrees to an earlier date.

Except where required by law, payments already charged are earned and nonrefundable. Provider does not provide full or prorated refunds or credits for unused days, unused conversations, unused support, Client’s failure to use the chatbot, Client-caused installation delays, website incompatibility caused by Client’s platform or provider, or Client’s decision to discontinue service.

Cancellation stops future recurring charges after it becomes effective. Client remains responsible for fees and taxes incurred before the effective cancellation date. The separate $79 calendar setup fee is nonrefundable once Provider begins calendar connection, testing, or configuration work.

8. Failed Payments, Suspension, and Reactivation

Client will maintain a valid payment method and current billing information. If a payment fails or becomes overdue, Provider may notify Client and attempt to process the payment again. If payment remains unpaid for seven days after its due date, Provider may suspend or disable the chatbot, calendar connection, support, or related services until the account is paid.

Suspension does not cancel amounts already due. Provider may charge a reasonable reactivation fee if restoring a suspended chatbot requires additional work, but Provider will disclose the fee before performing that work.

9. Nature and Limitations of AI Responses

The chatbot is an automated text-based tool intended to provide general agency information, answer common questions from Client-approved information, and direct visitors to Client’s contact or scheduling options. It is not a licensed insurance agent, customer-service representative, attorney, medical professional, or human advisor.

Client understands that artificial-intelligence-generated responses may occasionally be incomplete, inaccurate, outdated, inconsistent, or unexpected. The chatbot must not be used or relied upon to:

  • Recommend, compare, rank, or select a Medicare or insurance plan;
  • Quote, interpret, or promise specific benefits, premiums, provider access, drug coverage, eligibility, or enrollment results;
  • Complete an enrollment or make a decision requiring a licensed insurance professional;
  • Provide medical, legal, tax, financial, or regulatory advice; or
  • Make guarantees or representations not expressly approved by Client.

Provider may configure reasonable safeguards and disclaimers, but Client remains responsible for reviewing the chatbot, monitoring its public use, testing material changes, and promptly reporting any incorrect or inappropriate response. Provider may modify, limit, or suspend a chatbot response, feature, or topic when reasonably necessary for safety, accuracy, compliance, security, abuse prevention, or platform requirements.

10. Medicare, Insurance, and Advertising Compliance

Client—not Provider—is solely responsible for ensuring that the chatbot, approved agency information, website, calendar process, disclosures, marketing statements, carrier references, plan information, testimonials, communications, and business practices comply with all applicable requirements, including CMS rules and guidance, Medicare communications and marketing requirements, carrier rules, state insurance laws, licensing requirements, and professional obligations.

Provider does not provide legal, regulatory, tax, or compliance advice and does not submit the chatbot or its content to CMS, any carrier, insurer, governmental authority, or compliance department for approval unless expressly agreed in writing. Client must obtain any required carrier, plan, compliance, or legal approval before deployment and after a material change.

Client is responsible for supplying and approving all required Medicare, insurance, licensing, privacy, and advertising disclosures. Client will not use the chatbot for deceptive marketing, prohibited steering, unlawful lead generation, discrimination, unauthorized plan discussion, unsolicited communications, or any activity that violates applicable Medicare or insurance requirements.

11. Privacy, Sensitive Information, and HIPAA

The chatbot and calendar connection are intended only for general business inquiries and appointment scheduling. Client will not configure, instruct, or encourage the chatbot to request or collect protected health information, Social Security numbers, Medicare identification numbers, medical records, detailed health information, payment-card information, account passwords, or other highly sensitive information.

Client is responsible for determining what information may lawfully be collected, publishing an appropriate privacy notice, obtaining any required consent, responding to privacy requests, maintaining records, and complying with all privacy, data-protection, security, recordkeeping, and breach-notification requirements applicable to Client’s business.

Chatbot messages and related information may be processed, transmitted, or stored by third-party chatbot, hosting, analytics, or calendar providers under their respective terms and privacy policies. Unless the parties sign a separate written Business Associate Agreement expressly covering identified services, Provider does not agree to act as Client’s HIPAA business associate, and the service is not designed for the collection or storage of protected health information.

No internet transmission, chatbot, calendar, or storage system is completely secure. Provider will use commercially reasonable safeguards but does not guarantee absolute security.

12. Third-Party Services and Service Availability

Provider may use third-party chatbot platforms, artificial-intelligence services, hosting services, analytics tools, calendar systems, plugins, integrations, and other providers to deliver the service. Third-party services are governed by their own terms, privacy policies, availability, usage rules, and technical limitations.

Provider does not control and is not responsible for a third party’s outage, data loss, security incident, inaccurate output, policy change, pricing change, feature removal, suspension, discontinuation, or technical limitation. Provider may replace a third-party tool with a reasonably comparable alternative when necessary to continue service.

Provider does not guarantee continuous or uninterrupted availability, a particular response time, compatibility with every browser or device, or that the chatbot will be free from errors, attacks, spam, or unauthorized use. Planned maintenance, emergency maintenance, third-party outages, security events, and events beyond Provider’s reasonable control may temporarily interrupt service.

13. Ownership and License

Client retains ownership of Client’s pre-existing business name, trademarks, logos, photographs, text, data, and other materials supplied by Client (“Client Content”). Client grants Provider and its service providers a nonexclusive license to use, reproduce, format, transmit, and process Client Content only as reasonably necessary to configure, operate, support, and improve Client’s chatbot service.

Provider and its licensors retain all rights in the chatbot platform, software, prompts, workflows, configurations, templates, knowledge-base structure, methods, systems, code, documentation, and other provider or third-party technology (“Provider Materials”). While Client’s subscription is active and paid, Provider grants Client a limited, nonexclusive, nontransferable, revocable right to use the chatbot on the approved website for Client’s own business purposes.

Client may not copy, reverse engineer, resell, sublicense, transfer, remove, reproduce, or provide access to Provider Materials except as expressly authorized in writing. No chatbot software, account, configuration, or other Provider Materials will be transferred to Client when the subscription ends.

14. Acceptable Use

Client will not use or permit use of the chatbot to:

  • Violate any law, regulation, carrier rule, contractual obligation, or third-party right;
  • Publish false, deceptive, defamatory, infringing, discriminatory, or unlawful content;
  • Transmit malware, malicious code, spam, or unauthorized solicitations;
  • Attempt to bypass security, usage limits, access controls, or platform restrictions;
  • Collect prohibited sensitive information;
  • Misrepresent the chatbot as a human or licensed professional; or
  • Interfere with the platform, another customer, or a third-party service.

Provider may remove content or suspend access when Provider reasonably believes use violates this Agreement, creates a security or compliance risk, infringes another person’s rights, or could expose Provider or a third party to liability.

15. No Guarantee of Results

Provider does not guarantee website traffic, chatbot engagement, leads, appointments, sales, commissions, enrollments, consumer response, regulatory approval, error-free responses, or any other business result. Results depend on factors outside Provider’s control, including Client’s website traffic, reputation, market, approved information, follow-up, advertising, calendar availability, carrier relationships, and compliance.

16. Warranties and Disclaimers

Provider warrants that it will perform its configuration and support services in a professional and workmanlike manner. Client’s exclusive remedy for a verified failure to meet this warranty is for Provider to reperform the affected service after receiving reasonably prompt written notice.

Except for the express warranty above and to the maximum extent permitted by law, the chatbot, calendar connection, installation, support, third-party services, and related materials are provided “as is” and “as available.” Provider disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing or usage of trade.

17. Limitation of Liability

To the maximum extent permitted by law, Provider will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost commissions, lost opportunities, loss of data, business interruption, reputational harm, missed appointments, chatbot responses, website problems, regulatory noncompliance, or claims arising from third-party services or unauthorized use.

To the maximum extent permitted by law, Provider’s total aggregate liability arising out of or relating to this Agreement will not exceed the amount Client paid to Provider under this Agreement during the six months immediately preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

18. Indemnification

Client will defend, indemnify, and hold harmless Provider and its owners, employees, contractors, and service providers from third-party claims, damages, penalties, losses, liabilities, and reasonable costs, including attorneys’ fees, arising from or relating to: (a) Client Content, products, services, instructions, or business practices; (b) Client’s breach of this Agreement; (c) infringement allegations concerning materials supplied or approved by Client; (d) Client’s violation of Medicare, insurance, privacy, advertising, telemarketing, or other requirements; or (e) Client’s collection, use, disclosure, or storage of personal or sensitive information.

Provider will promptly notify Client of a covered claim and reasonably cooperate in the defense. Client may not settle a claim in a manner that admits wrongdoing by or imposes an obligation on Provider without Provider’s written consent.

19. Termination by Provider and Effect of Termination

Provider may suspend or terminate service for nonpayment, unlawful conduct, prohibited use, security risk, material breach, infringement, website incompatibility, third-party platform restrictions, or conduct that could reasonably expose Provider or another person to liability. When an issue can reasonably be cured, Provider will ordinarily give Client notice and a reasonable opportunity to cure it.

When the subscription ends, Provider may disable the chatbot, calendar connection, support, and related services. Client must allow Provider or Client’s website administrator to remove or disable the chatbot installation code if necessary. Client should not continue using cached, copied, or unauthorized chatbot materials after termination.

Provider may delete chatbot configurations, conversation records, or related account data 30 days after termination, subject to applicable law, third-party retention practices, and ordinary backup procedures. Client is responsible for retaining any records Client is legally required to keep.

20. Confidentiality

Each party will use reasonable care to protect the other party’s nonpublic business, technical, and account information and will use it only to perform or receive services under this Agreement. Confidential information does not include information that is publicly available through no breach, already lawfully known, independently developed, or lawfully obtained from another source.

Provider may disclose information to employees, contractors, chatbot providers, hosting companies, payment processors, calendar providers, and other service providers who need the information to perform the services and are subject to appropriate confidentiality or data-protection obligations, or when disclosure is required by law.

21. Notices

Notices under this Agreement must be sent by email or another written method that provides a record of transmission. Cancellation and legal notices to Provider must be sent to info@lincolnstreetmedia.com. Notices to Client may be sent to the email address provided during checkout or onboarding. Client is responsible for keeping its contact information current.

22. Governing Law and Disputes

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Before filing a lawsuit, the parties will first attempt in good faith to resolve the dispute through written notice and informal discussion for at least 30 days.

Unless applicable law requires otherwise, exclusive venue for any lawsuit arising from this Agreement will be in the state or federal courts serving Hidalgo County, Texas, and each party consents to personal jurisdiction there.

23. General Terms

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, utility or internet failures, cyberattacks, labor disputes, governmental actions, platform outages, or failures of third-party providers.

Client may not assign this Agreement without Provider’s written consent. Provider may use qualified employees, independent contractors, and third-party service providers to perform the services and may assign this Agreement in connection with a merger, sale, reorganization, or transfer of substantially all relevant business assets.

This Agreement and the applicable checkout disclosures or order form constitute the entire agreement concerning the standalone chatbot subscription and replace prior or contemporaneous discussions and representations about it. If an order form conflicts with this Agreement, the order form controls only as to the specific service, price, or term expressly stated there.

Changes must be in writing and accepted by both parties, except that Provider may update these terms prospectively when reasonably necessary for legal, tax, security, platform, or operational reasons. Material changes will not retroactively reduce Client’s rights during a paid billing period.

If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. A waiver on one occasion is not a waiver on another. Headings are for convenience only. Sections that by their nature should survive termination—including payment, tax, ownership, disclaimers, liability limits, indemnification, confidentiality, disputes, and general terms—will survive.

Electronic records and signatures may be used in connection with this Agreement. A signature, required checkout checkbox, or other electronic indication of assent has the same effect as a handwritten signature to the extent permitted by law.
